Agreement

Agreement between the Applicant and Eight & Eight Ltd. for the exchange of logos or banners (referred to below as 'the service')

1. This agreement is effective immediately on submission of this application form.

2. The applicant agrees to provide true, accurate, current and complete information about his/herself and his/her company as requested by this application form and agrees to provide further information as required by Eight & Eight Ltd. for the purposes of processing this application.

3. The applicant agrees to notify Eight & Eight Ltd. of any subsequent changes to the submitted information immediately.

4. Eight & Eight Ltd. reserves the right to reject your application without any obligation to provide reasons or justification.

5. Eight & Eight Ltd. will place your logo or banner on the www.eight-and-eight.com website in a location to be decided at the discretion of Eight & Eight Ltd.

6. Both Eight & Eight Ltd. and the applicant must agree on the location of banners or logos before they are published on the Internet.

7. Eight & Eight Ltd. will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if Eight & Eight Ltd. has been advised of the possibility of such damages), resulting from: (a) the use or the inability to use the service; (b) unauthorised access to or alteration of your transmissions or data; (c) statements or conduct of any third party on the service; or (d) any other matters relating to the service.

8. Eight & Eight Ltd. gives no guarantee that (a) the service will meet the requirements of the applicant; (b) the service will be uninterrupted, timely, secure, or error-free; (c) the results that may be obtained from the use of the service will be accurate or reliable; (d) any software errors will be corrected.

9. Any violation of this agreement by either Eight & Eight Ltd. or the Applicant will immediately terminate the agreement and entail the immediate removal of both parties' banners or logos from the relevant websites.

10. The service is free for both Eight & Eight Ltd. and the Applicant and can be terminated at any time by either party provided that immediate notice is given to the other party.

11. All content and materials available on the Eight & Eight Ltd. (China Media Intelligence) website (www.eight-and-eight.com) is protected by copyright and all use of the website must accord with the terms and conditions of use outlined on the website. This includes the agreement not to copy, publish, sell, modify, adapt, edit, borrow, rent, distribute, display in public or otherwise transmit any content from the website without prior written permission from Eight & Eight Ltd.

12. Reproduction or redistribution for commercial purposes of any materials or design elements of the Eight & Eight Ltd. website is strictly prohibited.

13. The use of the China Media Intelligence banner or logo exchanged under this agreement shall remain solely under the control of Eight & Eight Ltd. and the applicant will agree to remove the banner or logo from the applicant's website immediately if requested to by Eight & Eight Ltd.

14. The applicant must inform Eight & Eight Ltd. in advance of (a) any repositioning of the China Media Intelligence banner or logo on the applicant's website and must seek consent from Eight & Eight Ltd. before any such repositioning takes place and (b) any changes to the applicant's website that will affect the positioning or immediate environment of the China Media Intelligence banner or logo.
